iSERVU TERMS & CONDITIONS / TERMS OF SERVICE Effective Date: August 10, 2026 Last Updated: August 10, 2026 IMPORTANT NOTICE PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE iSERVU APPLICATION, WEBSITE, PLATFORM, OR SERVICES. THESE TERMS CONTAIN IMPORTANT PROVISIONS CONCERNING PAYMENT OBLIGATIONS, CANCELLATIONS, LIMITATIONS OF LIABILITY, DISCLAIMERS, INDEMNIFICATION, DISPUTE RESOLUTION, AND OTHER LEGAL RIGHTS AND OBLIGATIONS. BY CREATING AN ACCOUNT, ACCESSING THE iSERVU PLATFORM, REQUESTING OR ACCEPTING A RIDE, USING ANY iSERVU SERVICE, OR OTHERWISE INDICATING YOUR ACCEPTANCE OF THESE TERMS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE iSERVU. ⸻ 1. DEFINITIONS For purposes of these Terms: “iSERVU,” “Company,” “we,” “us,” or “our” means iSERVU and its applicable parent companies, subsidiaries, affiliates, successors, assigns, officers, directors, employees, agents, contractors, representatives, technology providers, and service providers. “Platform” means the iSERVU website, mobile applications, software, technology, payment systems, interfaces, communications systems, and related services. “App” means the iSERVU mobile application and any replacement, successor, or related application. “Rider,” “you,” or “your” means any individual or entity that accesses or uses the Platform as a passenger, customer, account holder, or other user. “Driver” means an individual or entity approved or authorized to provide transportation services through or in connection with the Platform. “Transportation Services” means transportation services provided by Drivers to Riders. “Ride” means a transportation trip requested by a Rider and accepted or fulfilled by a Driver. “Fare” means the amount charged for a Ride, including any applicable base fare, distance or time charges, booking fees, service fees, tolls, taxes, surcharges, cancellation fees, waiting fees, cleaning fees, or other applicable charges. “Account” means a registered iSERVU user account. “Third-Party Services” means services, technologies, payment processors, mapping providers, communications providers, insurance providers, vehicle owners, contractors, or other services supplied by parties other than iSERVU. ⸻ 2. ACCEPTANCE OF THESE TERMS These Terms constitute a legally binding agreement between you and iSERVU. By using the Platform, you represent and warrant that: 1. You have legal capacity to enter into a binding agreement; 2. You are at least the minimum legal age required to use the applicable service in your jurisdiction; 3. All information you provide is accurate, current, complete, and not misleading; 4. You will comply with all applicable laws and regulations; 5. You will not use the Platform for any unlawful, fraudulent, abusive, or prohibited purpose; and 6. You have authority to enter into these Terms if acting on behalf of another person or entity. If you do not satisfy these requirements, you may not use the Platform. ⸻ 3. MODIFICATION OF THESE TERMS iSERVU reserves the right to modify, amend, replace, supplement, or update these Terms at any time. Updated Terms may be posted through the Platform, website, application, email, or other reasonable means. Unless otherwise required by applicable law, continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms. Where legally required, iSERVU may provide additional notice or obtain additional consent. ⸻ 4. THE iSERVU PLATFORM iSERVU operates a technology platform intended to facilitate connections between Riders and Drivers and to facilitate the requesting, coordination, tracking, payment, and management of transportation services. The Platform may allow Riders to: ● Enter pickup and destination locations; ● Request transportation; ● View available Ride options; ● Receive estimated or applicable Fares; ● Receive Driver information; ● Track a Ride; ● Communicate with Drivers; ● Make payments; ● Rate or review completed Rides; and ● Contact customer support. iSERVU may add, remove, modify, suspend, restrict, or discontinue Platform features at any time. Although iSERVU seeks to provide a reliable Platform, iSERVU does not guarantee that a Ride, Driver, vehicle, route, estimated arrival time, or transportation service will always be available. ⸻ 5. iSERVU IS NOT THE RIDER’S PERSONAL DRIVER Except where expressly stated otherwise in writing, iSERVU is a technology and ride-hailing platform and does not itself necessarily provide the physical transportation associated with every Ride. Transportation may be provided by independent Drivers or transportation providers. To the extent permitted by applicable law, Drivers are responsible for providing transportation services in compliance with all applicable licensing, registration, insurance, safety, vehicle, and transportation requirements. Nothing in these Terms shall be interpreted as creating an employment, agency, partnership, joint venture, franchise, fiduciary, or other relationship between iSERVU and a Driver except where expressly established by written agreement or required by applicable law. ⸻ 6. DRIVER VERIFICATION AND SAFETY iSERVU may establish screening, verification, onboarding, vehicle inspection, documentation, insurance, licensing, or other requirements for Drivers. Where applicable, iSERVU may display Driver identification, vehicle information, ratings, location information, or other information to Riders. However, no verification process constitutes a guarantee that a Driver is safe, qualified, trustworthy, competent, or suitable for every circumstance. Riders remain responsible for exercising reasonable judgment before entering a vehicle. Riders should verify the vehicle and Driver information displayed through the Platform before entering a vehicle. If the vehicle, Driver, or circumstances do not appear to correspond with the Ride information displayed in the Platform, the Rider should not enter the vehicle and should contact iSERVU support or emergency services as appropriate. ⸻ 7. EMERGENCIES AND IMMEDIATE DANGER The Platform is not a substitute for emergency services. If you are experiencing an immediate threat to life, serious injury, criminal activity, fire, medical emergency, or other emergency, contact the appropriate emergency services in your jurisdiction immediately. iSERVU may cooperate with law enforcement, emergency responders, courts, insurers, regulators, or other authorized parties where permitted or required by law. ⸻ 8. USER ACCOUNTS Certain Platform functions require registration. You agree to: ● Provide truthful and accurate information; ● Maintain accurate account information; ● Protect your username, password, authentication credentials, and devices; ● Not share your account with unauthorized persons; ● Immediately notify iSERVU of suspected unauthorized access; and ● Accept responsibility for activity occurring through your Account, subject to applicable law. You may not create an Account using another person’s identity or information without authorization. iSERVU may suspend, restrict, or terminate Accounts associated with suspected fraud, abuse, unauthorized activity, inaccurate information, safety concerns, violations of these Terms, or applicable law. ⸻ 9. RIDER RESPONSIBILITIES Riders must: 1. Provide accurate pickup and destination information; 2. Be ready at the designated pickup location; 3. Treat Drivers respectfully; 4. Follow applicable laws and reasonable safety instructions; 5. Wear seat belts where required; 6. Avoid interfering with the Driver’s operation of the vehicle; 7. Keep personal belongings secure; 8. Avoid damaging the vehicle; 9. Comply with applicable passenger and transportation requirements; and 10. Pay all amounts properly charged for the Ride. Riders must not request a Ride for an unlawful purpose. ⸻ 10. PROHIBITED RIDER CONDUCT You may not use the Platform or Ride to: ● Commit, facilitate, or conceal a crime; ● Threaten, harass, intimidate, stalk, abuse, or assault another person; ● Carry unlawful weapons, explosives, controlled substances, or prohibited materials; ● Transport hazardous materials in violation of law; ● Damage or intentionally soil a vehicle; ● Engage in fraudulent payment activity; ● Manipulate the Platform or Fare system; ● Use another person’s Account without authorization; ● Provide false information; ● Interfere with Platform operations; ● Attempt to gain unauthorized access to Platform systems; ● Reverse engineer or exploit the Platform; ● Circumvent security measures; ● Discriminate unlawfully; ● Engage in sexual harassment, sexual misconduct, or unwanted sexual conduct; ● Record, photograph, or monitor another person for unlawful or abusive purposes; or ● Engage in any conduct reasonably likely to endanger a Rider, Driver, third party, or property. iSERVU may immediately terminate or restrict access for prohibited conduct and may report suspected criminal conduct to appropriate authorities where permitted or required by law. ⸻ 11. CHILDREN AND MINORS Riders are responsible for complying with all laws concerning transportation of minors. Unless specifically permitted by applicable law and iSERVU policy, a child may not use the Platform without an appropriately authorized adult. Where child transportation services are offered, additional rules, consent requirements, age restrictions, safety requirements, and fees may apply. Riders are solely responsible for ensuring that minors under their supervision are properly secured and transported in accordance with applicable law. ⸻ 12. RIDE REQUESTS A Ride request does not necessarily constitute acceptance by iSERVU or a Driver. A Ride is generally confirmed only when the Platform indicates that a Driver has accepted or otherwise confirmed the request. Estimated arrival times, route information, and Fare estimates are provided for convenience and may change due to traffic, weather, road conditions, route changes, Driver availability, mapping inaccuracies, passenger behavior, or other circumstances. iSERVU does not guarantee any particular pickup or arrival time. ⸻ 13. FARES AND PRICING Before confirming a Ride, the Platform may display an estimated or applicable Fare. Depending upon the service and jurisdiction, the final amount may vary based on factors including: ● Distance; ● Time; ● Traffic; ● Waiting time; ● Route changes; ● Tolls; ● Taxes; ● Government charges; ● Airport or venue fees; ● Additional stops; ● Cancellation; ● Cleaning or damage; ● Special service requests; ● Demand; ● Promotions or discounts; and ● Other applicable charges. Where required by law, applicable pricing information will be disclosed to the Rider. By confirming a Ride, you authorize iSERVU and its payment providers to charge the applicable payment method for amounts properly due. ⸻ 14. PAYMENT AUTHORIZATION By adding a payment method to your Account, you authorize iSERVU and its authorized payment processors to charge that payment method for: ● Fares; ● Fees; ● Tolls; ● Taxes; ● Cancellation charges; ● Waiting charges; ● Cleaning or damage charges where applicable; ● Outstanding balances; ● Other amounts properly owed under these Terms. If the primary payment method fails, iSERVU may attempt to process another authorized payment method associated with your Account. You are responsible for maintaining valid payment information. ⸻ 15. CASH, CARD, DIGITAL PAYMENTS, AND THIRD-PARTY PAYMENT PROCESSORS Available payment methods may vary by location and may include credit cards, debit cards, digital wallets, electronic payments, cash, or other approved methods. Payment processing may be performed by third-party payment processors. By using a third-party payment method, you may also be subject to that provider’s terms and privacy policies. iSERVU does not control third-party financial institutions and is not responsible for their independent acts, omissions, outages, processing delays, declined transactions, unauthorized actions, or policies except to the extent liability cannot lawfully be excluded. ⸻ 16. CANCELLATION POLICY A Rider may cancel a Ride through the Platform, subject to applicable cancellation rules. A cancellation fee may apply when: ● A Driver has already accepted the Ride; ● The Driver has traveled toward the pickup location; ● The Driver has arrived at the pickup location; ● The Rider fails to appear within the applicable waiting period; ● The Rider cancels after the permitted cancellation period; or ● Another applicable cancellation condition occurs. Cancellation rules and fees may vary according to location, Ride type, time, circumstances, and applicable law. iSERVU may waive or refund a cancellation fee when appropriate, including where a cancellation results from circumstances outside the Rider’s reasonable control. ⸻ 17. DRIVER CANCELLATIONS AND UNAVAILABILITY Drivers may cancel or decline Rides subject to applicable policies and law. iSERVU does not guarantee that a Driver who accepts a Ride will ultimately complete it. Where a Driver cancels, iSERVU may attempt to locate another Driver. iSERVU will not be responsible for delays, inconvenience, losses, or expenses resulting solely from Driver availability or cancellation except to the extent required by applicable law. ⸻ 18. WAITING TIME A Driver may wait for a reasonable period after arriving at the designated pickup location. Where applicable, additional waiting charges may accrue after the applicable grace period. A Rider is responsible for monitoring the Platform and being reasonably available at the pickup location. ⸻ 19. ROUTES, DESTINATIONS, AND STOPS The Rider is responsible for providing accurate destination information. A Rider may request a destination change or additional stop where supported by the Platform. Destination changes or additional stops may affect the Fare, route, duration, or Driver’s ability to complete the Ride. Drivers may refuse route changes that are unsafe, unlawful, impractical, or inconsistent with applicable Platform policies. ⸻ 20. PERSONAL PROPERTY Riders are solely responsible for their personal property. iSERVU is not responsible for lost, stolen, damaged, or forgotten property except where liability cannot legally be excluded. If property is left in a vehicle, iSERVU may facilitate communication between the Rider and Driver but does not guarantee recovery. Users should not leave cash, identification documents, medication, electronics, valuables, or other important property unattended. ⸻ 21. VEHICLE DAMAGE, CLEANING, AND MISCONDUCT FEES If a Rider intentionally or negligently causes damage to a vehicle or causes extraordinary cleaning requirements, iSERVU may, where permitted by law, charge reasonable costs associated with restoring the vehicle. Examples may include: ● Excessive spills; ● Bodily fluids; ● Smoking or vaping where prohibited; ● Intentional damage; ● Significant food or beverage contamination; ● Damage to seats, doors, windows, equipment, or accessories; or ● Other extraordinary cleaning or repair requirements. iSERVU may request reasonable evidence supporting a claim before imposing a charge. The Rider may dispute a charge through customer support within the applicable dispute period. ⸻ 22. DRIVER OBLIGATIONS Drivers are expected to comply with all applicable laws and iSERVU requirements, including requirements relating to: ● Valid driver’s licenses; ● Vehicle registration; ● Insurance; ● Vehicle safety; ● Passenger safety; ● Road traffic laws; ● Licensing requirements; ● Background or eligibility screening where applicable; ● Prohibited conduct; ● Non-discrimination; and ● Honest and accurate use of the Platform. Drivers are responsible for determining whether they are legally authorized to provide transportation services in their jurisdiction. ⸻ 23. INDEPENDENT DRIVER STATUS Unless otherwise expressly stated by a separate written agreement, Drivers are independent service providers and are responsible for their own taxes, permits, licenses, insurance, vehicle expenses, maintenance, fuel, equipment, and other business obligations. Nothing in these Terms guarantees a Driver any minimum number of Rides, earnings, hours, income, or geographic availability. Nothing in these Terms should be interpreted to create an employment relationship where applicable law does not recognize one. ⸻ 24. RATINGS AND REVIEWS Following a Ride, users may be permitted to rate or review Drivers or Riders. Ratings should be honest, accurate, relevant, and based on genuine experiences. Users may not manipulate ratings, submit fraudulent reviews, threaten another user to obtain a favorable rating, or submit reviews containing unlawful or abusive content. iSERVU may remove, restrict, moderate, or investigate reviews that violate these Terms or applicable law. ⸻ 25. COMMUNICATIONS By using the Platform, you consent to receiving service-related communications, including: ● Ride confirmations; ● Driver information; ● Pickup notifications; ● Trip updates; ● Receipts; ● Payment notifications; ● Security alerts; ● Account notices; ● Support communications; and ● Other communications reasonably necessary to provide the Services. Marketing communications may be subject to separate consent and applicable law. You may opt out of non-essential marketing communications using available unsubscribe mechanisms. ⸻ 26. LOCATION INFORMATION The functionality of iSERVU may require access to location information. Location information may be used to: ● Identify pickup locations; ● Identify destinations; ● Match Riders and Drivers; ● Track active Rides; ● Improve safety; ● Provide navigation-related functionality; ● Calculate or estimate Fares; ● Investigate disputes; and ● Provide and improve the Platform. Location information will be handled in accordance with iSERVU’s Privacy Policy and applicable law. ⸻ 27. PRIVACY Your use of the Platform is also subject to the iSERVU Privacy Policy. The Privacy Policy explains how iSERVU may collect, use, disclose, store, retain, and protect personal information. Where these Terms and the Privacy Policy address different subjects, each document applies to its respective subject matter. ⸻ 28. THIRD-PARTY SERVICES The Platform may integrate with third-party services, including mapping, payment, telecommunications, identity verification, cloud hosting, analytics, insurance, and other technology providers. Third-party services may be governed by separate terms. iSERVU does not guarantee uninterrupted availability or accuracy of third-party services and is not responsible for third-party acts or omissions except where liability cannot lawfully be excluded. ⸻ 29. TECHNOLOGY AND PLATFORM AVAILABILITY The Platform is provided on an availability basis. iSERVU does not guarantee that the Platform will: ● Always be available; ● Be uninterrupted; ● Be error-free; ● Be completely secure; ● Operate on every device; ● Be compatible with every operating system; ● Produce completely accurate location information; ● Produce completely accurate Fare estimates; or ● Be free from viruses or other harmful components. Maintenance, upgrades, technical failures, cyber incidents, telecommunications failures, weather, government action, and other circumstances may temporarily affect availability. ⸻ 30. INTELLECTUAL PROPERTY The Platform, including its software, design, trademarks, logos, graphics, text, photographs, interfaces, databases, compilations, algorithms, and other content, is owned by or licensed to iSERVU and is protected by applicable intellectual-property laws. Except as expressly permitted by iSERVU in writing, you may not: ● Copy; ● Modify; ● Reproduce; ● Distribute; ● Sell; ● License; ● Lease; ● Reverse engineer; ● Decompile; ● Disassemble; ● Scrape; ● Create derivative works from; ● Attempt to extract source code from; or ● Exploit the Platform or its intellectual property. The iSERVU name, logos, trademarks, service marks, and branding may not be used without prior written authorization. ⸻ 31. LIMITED LICENSE Subject to these Terms, iSERVU grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for its intended lawful purposes. This license automatically terminates when your Account or authorization to use the Platform is terminated. ⸻ 32. USER CONTENT If you submit photographs, reviews, comments, messages, feedback, ratings, reports, or other content through the Platform (“User Content”), you represent that you have the legal right to submit that content. You retain ownership of your User Content, subject to the license granted below. You grant iSERVU a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, modify as technically necessary, display, and use User Content as reasonably necessary to operate, maintain, protect, improve, and promote the Platform, subject to applicable privacy law. You must not submit content that is unlawful, defamatory, threatening, fraudulent, infringing, discriminatory, abusive, or otherwise prohibited. ⸻ 33. FEEDBACK If you voluntarily provide suggestions, ideas, recommendations, or feedback concerning iSERVU, you grant iSERVU the right to use such feedback without compensation or obligation to you, subject to applicable law. ⸻ 34. FRAUD AND ABUSE iSERVU maintains zero tolerance for fraudulent or abusive activity. Prohibited activity may include: ● Payment fraud; ● Identity fraud; ● Fake Accounts; ● Fake Rides; ● Promotional abuse; ● Chargeback abuse; ● GPS or location manipulation; ● Fare manipulation; ● Account sharing; ● Collusion; ● False complaints; ● False reviews; ● Unauthorized use of payment credentials; ● Circumvention of Platform controls; and ● Attempts to obtain services without paying. iSERVU may suspend Accounts, cancel transactions, withhold funds where legally permitted, reverse improper credits, investigate activity, and cooperate with law enforcement or payment providers. ⸻ 35. CHARGEBACKS AND PAYMENT DISPUTES You agree to contact iSERVU first regarding legitimate billing disputes before initiating a payment chargeback, except where prohibited by law or where immediate action is reasonably necessary to protect your rights. Unauthorized, fraudulent, or abusive chargebacks may result in Account suspension or termination. Nothing in this section limits any rights you have under applicable consumer-protection or payment laws. ⸻ 36. PROMOTIONS AND CREDITS Promotional codes, credits, discounts, referral programs, and special offers may be subject to additional terms. Unless otherwise stated: ● Promotions have no cash value; ● Promotions may not be transferred; ● Promotions may not be duplicated or reproduced; ● Promotions may expire; ● Promotions may be limited to one user or Account; and ● iSERVU may cancel promotional benefits obtained through fraud, abuse, error, or violation of applicable promotional terms. ⸻ 37. ACCESSIBILITY AND NON-DISCRIMINATION iSERVU prohibits unlawful discrimination. Users and Drivers must comply with applicable anti-discrimination and accessibility laws. Where legally required, reasonable accommodations may be available. Service animals and disability-related accommodations will be handled in accordance with applicable law. ⸻ 38. SAFETY REPORTS AND INVESTIGATIONS iSERVU may investigate reports involving: ● Assault; ● Harassment; ● Unsafe driving; ● Theft; ● Fraud; ● Discrimination; ● Property damage; ● Unauthorized conduct; ● Threats; ● Criminal conduct; or ● Other violations. iSERVU may temporarily restrict Accounts while an investigation is pending where reasonably necessary to protect users, Drivers, third parties, or the integrity of the Platform. ⸻ 39. SUSPENSION AND TERMINATION iSERVU may suspend, restrict, deactivate, or terminate your Account or access to any portion of the Platform where permitted by law, including when: ● You violate these Terms; ● You violate applicable law; ● You engage in fraudulent or abusive conduct; ● You create a safety risk; ● You provide false information; ● Your Account is compromised; ● You fail to pay amounts due; ● You misuse the Platform; ● You interfere with Platform operations; or ● iSERVU reasonably determines that continued access presents legal, operational, security, or safety concerns. You may stop using the Platform at any time. Termination does not eliminate obligations or liabilities that accrued before termination. ⸻ 40. DISCLAIMER OF WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND RELATED SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, iSERVU DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, AND QUIET ENJOYMENT. iSERVU DOES NOT WARRANT THAT: 1. A DRIVER WILL ACCEPT A RIDE; 2. A DRIVER WILL ARRIVE AT A PARTICULAR TIME; 3. A RIDE WILL BE COMPLETED; 4. A VEHICLE WILL MEET YOUR PARTICULAR EXPECTATIONS; 5. INFORMATION DISPLAYED THROUGH THE PLATFORM WILL ALWAYS BE ACCURATE; 6. THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE; OR 7. THE SERVICES WILL MEET YOUR PARTICULAR REQUIREMENTS. NOTHING IN THIS SECTION EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED. ⸻ 41. ASSUMPTION OF RISK To the maximum extent permitted by law, you acknowledge that transportation involves inherent risks, including risks associated with traffic, road conditions, weather, vehicle operation, other motorists, pedestrians, Driver conduct, Rider conduct, mechanical failures, delays, and unforeseen circumstances. You voluntarily assume risks inherent in using transportation services, except to the extent such risks cannot legally be assumed or liability cannot legally be limited. ⸻ 42. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, iSERVU AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF OPPORTUNITY, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM OR SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, iSERVU’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO iSERVU DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (US$100). THIS LIMITATION SHALL NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW. ⸻ 43. PERSONAL INJURY, DEATH, AND PROPERTY DAMAGE Nothing in these Terms is intended to exclude or restrict liability for death, personal injury, fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or any other liability that applicable law prohibits the Company from excluding or limiting. Where applicable law permits limitation of such liability, the limitations contained in these Terms shall apply to the maximum extent permitted. ⸻ 44. INDEMNIFICATION To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless iSERVU and its affiliates, officers, directors, employees, agents, contractors, licensors, service providers, and representatives from and against claims, demands, actions, proceedings, damages, losses, liabilities, costs, expenses, fines, penalties, and reasonable attorneys’ fees arising from or related to: 1. Your breach of these Terms; 2. Your violation of applicable law; 3. Your misuse of the Platform; 4. Your fraudulent, negligent, reckless, or intentional conduct; 5. Your User Content; 6. Your damage to property; 7. Your violation of another person’s rights; or 8. Claims arising from your acts or omissions. This obligation does not apply to the extent that the claim results from iSERVU’s own conduct where applicable law prohibits indemnification. ⸻ 45. FORCE MAJEURE iSERVU shall not be responsible for delay, interruption, failure, or inability to provide services caused by circumstances beyond its reasonable control, including: ● Natural disasters; ● Hurricanes; ● Floods; ● Earthquakes; ● Severe weather; ● Epidemics or pandemics; ● War; ● Terrorism; ● Civil unrest; ● Government action; ● Road closures; ● Strikes; ● Labor disputes; ● Utility failures; ● Telecommunications failures; ● Internet failures; ● Cyberattacks; ● Power outages; ● Transportation disruptions; ● Third-party service failures; or ● Other events beyond reasonable control. ⸻ 46. DISPUTE RESOLUTION Before commencing formal legal proceedings, you agree to first contact iSERVU and provide a reasonable opportunity to investigate and resolve the dispute. Where legally permissible, the parties shall attempt in good faith to resolve disputes through informal negotiation. If a dispute cannot be resolved informally, it shall be resolved through the dispute-resolution procedure specified by the governing law and jurisdiction provision below. Nothing in this section prevents a party from seeking urgent injunctive, protective, or emergency relief where legally available. ⸻ 47. GOVERNING LAW AND JURISDICTION IMPORTANT: THIS SECTION MUST BE CUSTOMIZED BY iSERVU’S ATTORNEY BEFORE PUBLICATION. These Terms shall be governed by and interpreted in accordance with the laws of Saint Lucia, without regard to conflict-of-law principles. Subject to any mandatory consumer-protection or transportation laws applicable to the Rider, the courts located in [INSERT CITY/COURT/JURISDICTION] shall have exclusive jurisdiction over disputes arising from or relating to these Terms, the Platform, or the Services. Nothing in this provision prevents a consumer from exercising mandatory rights available under the laws of the jurisdiction in which the consumer resides. ⸻ 48. CLASS ACTION WAIVER ATTORNEY REVIEW REQUIRED BEFORE USE. To the maximum extent permitted by applicable law, each party agrees that any dispute shall be brought solely in that party’s individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private-attorney-general proceeding. No dispute may be consolidated with another proceeding without the prior written consent of all parties, except where prohibited by law. If this waiver is found unenforceable in a particular jurisdiction, it shall be severed only to the extent necessary. ⸻ 49. ARBITRATION ATTORNEY REVIEW REQUIRED BEFORE USE. Where permitted by applicable law, iSERVU may require eligible disputes to be resolved through binding individual arbitration rather than court proceedings. Any arbitration provision shall be interpreted and administered in accordance with applicable arbitration legislation and mandatory consumer-protection requirements. Nothing in this section prevents either party from seeking relief from a court where such relief cannot legally be subject to arbitration. ⸻ 50. NOTICE OF CLAIMS To the maximum extent permitted by applicable law, any claim arising from or relating to the Platform or Services must be brought within the applicable statutory limitation period. Where legally permissible, a claimant shall provide iSERVU with reasonable written notice describing: ● The nature of the claim; ● The relevant Ride or transaction; ● The date and location; ● The relief requested; and ● Supporting documentation reasonably available. Nothing in this section eliminates a statutory limitation period or legal right that cannot lawfully be waived. ⸻ 51. ELECTRONIC COMMUNICATIONS AND SIGNATURE You consent to receiving agreements, notices, disclosures, receipts, statements, and other communications electronically. You agree that clicking “I Agree,” checking an acceptance box, creating an Account, requesting a Ride, accepting a Ride, making a payment, or otherwise using the Platform may constitute an electronic signature or affirmative acceptance where legally recognized. Electronic records shall have the same legal effect as paper records to the maximum extent permitted by applicable law. ⸻ 52. MOBILE APPLICATION LICENSE TERMS Where the App is downloaded through Apple, Google, or another third-party application marketplace, additional marketplace terms may apply. Your use of the App remains subject to these Terms. To the extent applicable, the relevant application marketplace is a third-party beneficiary of provisions relating to the license of the App and may have rights to enforce those provisions. ⸻ 53. GOVERNMENT TAXES AND FEES You are responsible for applicable taxes, governmental charges, duties, levies, or fees associated with your use of the Platform to the extent required by law. iSERVU may collect and remit taxes or governmental charges where legally required. ⸻ 54. INSURANCE Drivers are responsible for maintaining all legally required insurance coverage applicable to their transportation activities and vehicles. iSERVU may require proof of insurance or additional insurance coverage as a condition of Driver participation. Insurance coverage may be subject to exclusions, deductibles, policy limits, territorial restrictions, and other conditions. Nothing in these Terms constitutes a representation that a particular insurance policy will cover a particular incident. ⸻ 55. NO GUARANTEE OF EARNINGS For Drivers, any earnings information, estimates, projections, examples, or promotional statements are illustrative only and do not constitute a guarantee of income. Actual earnings may vary based on location, demand, hours worked, expenses, taxes, vehicle costs, cancellations, promotions, applicable fees, and other factors. ⸻ 56. NO PROFESSIONAL OR EMERGENCY SERVICES iSERVU is not a medical, emergency, law-enforcement, security, financial, legal, or other professional service. Users should obtain appropriate professional or emergency assistance whenever necessary. ⸻ 57. SEVERABILITY If any provision of these Terms is determined to be unlawful, invalid, void, or unenforceable, that provision shall be modified or limited to the minimum extent necessary to make it enforceable where legally permitted. If modification is not possible, the provision shall be severed. The remaining provisions shall remain in full force and effect. ⸻ 58. WAIVER Failure by iSERVU to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision later. Any waiver must be expressly made in writing by an authorized representative of iSERVU. ⸻ 59. ASSIGNMENT You may not assign, transfer, delegate, or otherwise dispose of your rights or obligations under these Terms without iSERVU’s prior written consent. iSERVU may assign or transfer these Terms, in whole or in part, to an affiliate, successor, purchaser, or other entity in connection with a merger, acquisition, restructuring, sale of assets, financing, or other corporate transaction. ⸻ 60. ENTIRE AGREEMENT These Terms, together with any documents expressly incorporated by reference—including the Privacy Policy, Cookie Policy, Refund/Cancellation Policy, Driver Agreement, promotional terms, and other applicable policies—constitute the entire agreement between you and iSERVU concerning the subject matter addressed herein. These Terms supersede prior or contemporaneous understandings concerning the same subject matter, except where a separate written agreement expressly governs. ⸻ 61. ORDER OF PRECEDENCE If there is a conflict between these Terms and a separate written agreement expressly executed by iSERVU, the separate written agreement shall control solely with respect to the subject matter specifically addressed by that agreement. Mandatory applicable law shall prevail over any conflicting contractual provision. ⸻ 62. NO THIRD-PARTY BENEFICIARIES Except where expressly stated otherwise, these Terms do not create rights for persons who are not parties to the agreement. ⸻ 63. SURVIVAL Any provisions which by their nature should survive termination shall survive termination, including provisions relating to: ● Payment obligations; ● Intellectual property; ● Disclaimers; ● Limitations of liability; ● Indemnification; ● Dispute resolution; ● Governing law; ● Confidentiality and privacy obligations where applicable; and ● Any accrued rights or obligations. ⸻ 64. CUSTOMER SUPPORT iSERVU may provide customer support through available channels. Support availability, response times, and methods may vary. Customer support does not constitute a waiver of iSERVU’s rights under these Terms and does not have authority to modify these Terms unless expressly authorized. ⸻ 65. YOU HAVE HAD THE OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE; 4. YOU AGREE TO BE BOUND BY THESE TERMS; 5. YOU AGREE TO COMPLY WITH ALL APPLICABLE LAWS; 6. YOU ACCEPT THE RISKS ASSOCIATED WITH USING RIDE-HAILING AND TRANSPORTATION SERVICES TO THE EXTENT PERMITTED BY LAW; AND 7. YOU UNDERSTAND THAT CERTAIN RIGHTS AND REMEDIES MAY BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
